Welcome to CapKit (“Service”), operated by CapKit (“Company”, “we”, “us”, or “our”). These Terms of Service (“Terms”) govern your use of our AI-powered video caption generation service.

1. Acceptance of Terms

By accessing or using CapKit, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these terms, please do not use our Service.

2. Service Description

CapKit is an AI-powered video caption generation service that automatically creates styled captions for short-form videos. Our service includes:

  • Video upload and processing
  • AI-powered audio transcription
  • Automatic caption generation and styling
  • Caption template library and customization
  • Video export with embedded captions
  • Translation capabilities (optional)
  • Cloud storage for your videos

3. Account Registration and Security

3.1 Account Creation

  • You must provide accurate, current, and complete information during registration
  • You are responsible for maintaining the confidentiality of your account credentials
  • You must be at least 18 years old to use this service
  • One person may not maintain multiple accounts to abuse trial or free tier limits

3.2 Account Security

  • Protect your password and account credentials
  • Enable two-factor authentication (2FA) for enhanced security
  • You must notify us immediately of any suspected unauthorized access or security breach

3.3 Account Responsibility

  • You are responsible for all activities that occur under your account
  • You are responsible for all content uploaded through your account
  • You agree to monitor your account regularly for unauthorized activity
  • You must maintain accurate contact information for service notifications

4. Acceptable Use

4.1 Permitted Uses

You may use CapKit only for lawful purposes, including:

  • Creating captioned videos for social media (TikTok, Instagram Reels, YouTube Shorts, etc.)
  • Adding captions to educational or informational videos
  • Making video content more accessible with captions

4.2 Prohibited Uses

You may not use our Service to:

  • Upload illegal, harmful, threatening, abusive, defamatory, or obscene content
  • Upload copyrighted material without proper authorization or fair use rights
  • Upload content containing hate speech, violence, or adult content
  • Violate any applicable laws or regulations
  • Circumvent or disable security features or usage limits
  • Reverse engineer, decompile, or attempt to extract our AI models or algorithms
  • Interfere with other users’ access to the service
  • Use automated tools to scrape or mass-download content
  • Resell or redistribute our service without written authorization
  • Upload malware, viruses, or malicious code

5. Data and Content

5.1 Your Content

  • You retain ownership of all videos and content you upload to CapKit
  • You grant us a limited license to process, store, transcode, and generate captions for your videos
  • You represent that you have all necessary rights, licenses, and permissions for content you upload
  • You are responsible for ensuring your content complies with all applicable laws

5.2 Content Standards

  • All content must comply with applicable laws and regulations
  • Content must not infringe on third-party intellectual property rights
  • Content must not violate our Acceptable Use Policy (Section 4.2)
  • We reserve the right to review and remove content that violates these standards

5.3 Our Use of Your Content

  • We process your videos solely to provide the caption generation service
  • Audio from your videos is sent to Groq/OpenAI for AI transcription
  • We do not use your content to train AI models or for any purpose other than providing the service
  • We do not share, sell, or distribute your content to third parties (except as required for service provision)

5.4 Data Retention

  • Videos are retained while your account is active and within plan limits
  • You can delete individual videos at any time
  • Upon trial expiration or subscription cancellation, data is retained for 30 days
  • Upon account deletion, all data is permanently removed within 60 days
  • Backups are retained for 60 days for recovery purposes

6. Subscription Plans and Usage Limits

6.1 Free Trial

  • New users receive a free trial period
  • Trial includes limited videos with watermark
  • No credit card required for trial signup
  • Trial automatically ends when period expires or when you subscribe

6.2 Subscription Plans

  • We offer multiple subscription tiers with different features and limits

  • Plans may include features like: increased video quotas, longer video durations, priority processing, team collaboration, and white-label options
  • Annual billing options available with discounts

6.3 Usage Limits

  • Video limits reset monthly on your billing renewal date
  • Exceeding limits prevents processing new videos until next billing cycle
  • Storage quotas apply based on your plan
  • Watermarks are removed on paid plans

6.4 Plan Features

  • Features and limits vary by plan tier
  • Higher tiers include additional capabilities and increased quotas

7. Privacy and Security

7.1 Data Processing

  • Video files are processed to extract audio and generate captions
  • We use third-party AI and cloud storage services to provide the service

  • We implement industry-standard security measures to protect your data

7.2 Data Protection

  • TLS 1.3 encryption for all data in transit
  • Encryption at rest for stored video files
  • Access controls and authentication requirements
  • Regular security audits and updates

8. Service Availability

8.1 Service Provision

  • We strive to provide reliable video processing service
  • Processing times vary based on video length and queue depth (target: < 30 seconds for 2-minute videos)
  • Scheduled maintenance will be announced in advance when possible
  • We are not liable for service interruptions beyond our reasonable control

8.2 Service Limitations

  • Processing quality depends on video and audio quality
  • Transcription accuracy varies based on audio clarity, accents, and background noise
  • We do not guarantee 100% transcription accuracy
  • Service depends on third-party providers which may experience outages

8.3 Service Modifications

  • We may modify, suspend, or discontinue service features with reasonable notice
  • We may update caption styles, templates, and AI models to improve quality
  • Critical security updates may be implemented without prior notice

9. Payment and Billing

9.1 Pricing Plans

  • Multiple subscription tiers available
  • Monthly or annual billing options
  • Prices may change with 30 days notice to existing subscribers

9.2 Billing Terms

  • Subscriptions auto-renew unless cancelled
  • Billed monthly or annually depending on your selected billing period
  • Processed through our payment provider Paddle
  • No charges without explicit consent during signup
  • You may cancel your subscription at any time

9.3 Payment Methods

  • We accept credit cards, PayPal, and bank transfers via Paddle
  • Payment information is securely processed by Paddle (not stored by us)
  • Failed payments may result in service suspension
  • You’re responsible for any fees imposed by your payment provider

9.4 Plan Changes

  • Upgrades: Take effect immediately; prorated credit applied to next bill
  • Downgrades: Take effect at next billing cycle
  • Billing Period Changes: Switching between monthly/annual follows upgrade rules

10. Limitation of Liability

10.1 Service Limitations

  • CapKit is provided “as is” without warranties of any kind
  • We do not guarantee transcription accuracy or video processing perfection
  • We are not liable for data loss, though we implement regular backup systems
  • We are not responsible for content you create using our service

10.2 Limitation of Liability

  • Our total liability is limited to the amount paid for the service in the preceding 12 months
  • We are not liable for indirect, incidental, special, consequential, or punitive damages
  • This includes lost profits, revenue, data, or business opportunities
  • Some jurisdictions don’t allow liability limitations; those limits may not apply to you

10.3 Force Majeure

  • We are not responsible for delays or failures due to circumstances beyond our control
  • This includes natural disasters, government actions, third-party service failures, or network outages
  • Includes failures by our AI transcription or cloud storage service providers

11. Termination

11.1 Termination by You

  • You may cancel your subscription at any time through your account settings
  • Access continues until end of current billing period
  • You may delete your account entirely, which permanently removes all data within 60 days
  • Cancelled subscriptions enter 30-day grace period before data deletion

11.2 Termination by Us

We reserve the right to suspend or permanently terminate accounts that:

  • Violate these Terms of Service or Acceptable Use Policy
  • Upload illegal, harmful, or prohibited content
  • Engage in fraudulent or abusive activity
  • Misuse our service, API, or infrastructure
  • Attempt to circumvent usage limits or security measures
  • Create multiple accounts to abuse trial or free tier
  • Fail to pay subscription fees after grace period

Consequences of Termination for Violation:

  • Immediate account suspension without prior notice for severe violations
  • Permanent ban from creating future accounts
  • Complete data deletion - all videos, transcriptions, and templates permanently removed
  • No data recovery - we cannot restore data from terminated accounts

11.3 Appeals Process

  • You may appeal termination decisions by contacting akash@capkit.app
  • Provide detailed explanation and evidence supporting your appeal
  • Appeals are reviewed within 7 business days
  • Our decision on appeals is final

11.4 Data After Cancellation

  • After subscription cancellation (not abuse), data retained for 30 days
  • You can export your videos during this period
  • After 30 days, all data permanently deleted
  • You may reactivate subscription during grace period to retain data

12. Dispute Resolution

12.1 Governing Law

  • These Terms are governed by the laws of India
  • Any disputes will be resolved in the courts of India

12.2 Arbitration

  • Disputes may be resolved through binding arbitration at either party’s request
  • Class action lawsuits are waived in favor of individual arbitration

13. Changes to Terms

13.1 Updates

  • We may update these Terms from time to time
  • Material changes will be communicated via email and in-app notifications
  • Continued use of the service constitutes acceptance of updated Terms

13.2 Notification

  • We will provide at least 30 day’s notice for significant changes
  • You may terminate your account if you disagree with updated Terms

15. Miscellaneous

15.1 Entire Agreement

You may not assign these Terms without our written consent. We may assign these Terms without restriction.
